ATHREE ELITE EVENTS CONTRACT TERMS
ATHREE ELITE EVENTS STRONGLY SUGGESTS THAT EACH CLIENTS READS THIS CONTRACT IN ENTIRELY
ATHREE ELITE EVENTS represents and warrants to Client that it has the experience and ability to perform the services required by this Agreement; that it will perform said services in a professional, competent, and timely manner; that it has the power to enter into and perform this Agreement; and that its performance of this Agreement shall not infringe upon or violate the rights of any third party or violate any federal, state and municipal laws. However, Client will not determine or exercise control as to general procedures or formats necessary to have these services meet the Client's satisfaction.
SERVICE FEE
This fee is added to each client's actual budgeted quote. It is 20% of the entire total. This fee is paid directly to ATHREE ELITE EVENTS for planning & styling services for each event.
CONTRACT TERMS
1. Client or clients may not transfer this contract to another party without the prior written consent of ATHREE ELITE EVENTS.
2. This agreement is not binding until received and signed by ATHREE ELITE EVENTS. Any changes must be written and signed by both the client and ATHREE ELITE EVENTS. Oral agreements are non-binding. The latest contract supersedes all previous contracts between Client and ATHREE ELITE EVENTS for the event listed above. If any clause in this Agreement is found to be unenforceable by a court of law, the rest of this Agreement shall remain in full force and effect.
3. This Agreement may be executed in multiple counterparts, and each such executed counterpart shall be deemed an original, but all of which together shall constitute a single agreement. Facsimile signatures to this Agreement are acceptable and carry with them the same full force and effect as an original signature.
4. By signing this contract, the Customer has agreed to the details on invoice as well as the details to outside vendors invoice. Customer hereby agrees to the requested delivery date, pickup date, equipment, and accepts services from ATHREE ELITE EVENTS and its affiliates. No credit or refund will be given for unused items.
5. The client agrees that the event may be photographed by ATHREE ELITE EVENTS and such items may be freely published in any social outlet used to promote ATHREE ELITE EVENTS, this includes but not limited to a3eliteevents.com, instagram, facebook, pinterest, youtube, tic toc, ect.
6. ATHREE ELITE EVENTS may elect not to exercise rights specified in this agreement. By doing so, ATHREE ELITE EVENTS does not waive its right to exercise those rights at a future date.
PRICE QUOTES/ CONTRACTS/ INVOICES TERMS
Price quotes expire after 5 days if not accepted by the client. Clients will have one courtesy quote sent after that 5 day expiration date. If a third quote has to be sent out after another 5 day period, there will be a $50 dollar fee applied to the quote.
This does not include any adjustment or edits that have to be made by ATHREE ELITE EVENTS to the price quote before the client approves & accepts the price quote.
We ask a minimum of up to 5 business days to get a quote back to a client after changes have to be made to a quote.
After acceptance of a quote by the client, a contract agreement is emailed to the client within 24 hours. Client will review the contract and if agreed with all the terms and conditions of ATHREE ELITE EVENTS, the contract must be signed by the client.
The client will have 3 days to review the contract after this the contract will expire after non signature. ATHREE ELITE EVENTS will send out one courtesy contract for signature after this 3 day period and the client will then have 3 days to sign the contract. After this a $75 dollar fee will be applied to the total balance originally agreed upon between the client & ATHREE ELITE EVENTS.
PAYMENTS
1. The total event planning fee agreed upon is the amount agreed in the quote/proposal by ATHREE ELITE EVENTS. By accepting the quote/proposal client has accepted the amount for their event. By signing this contract and paying a deposit amount the client agrees to all the terms and conditions as well as payment amount agreed upon.
2. Payments are due on the days of the scheduled event payment timeline. THIS TIME LINE WILL BE INCLUDED IN CLIENTS CONTRACT AS WELL AS PRESENTED TO CLIENT AFTER CONTRACT IS SIGNED & DEPOSIT IS MADE.
We have this policy in place in order to follow the event planning timeline that will be presented to the client after the deposit is paid. With this we will be able to pay vendors accordingly for items needed for the event as well as but not limited to getting all other items in place for the event. WE DO HAVE PAYMENT PLANS AVAILABLE FOR CLIENTS THAT WILL LIKE TO SET UP PAYMENT ARRANGEMENTS.
3. DEPOSIT IS NON REFUNDABLE. ATHREE ELITE EVENTS WOULD LOVE TO BE ABLE TO RETURN DEPOSITS TO CLIENTS IN THE CASE THE CLIENT CHANGES THEIR MIND OR SOMETHING COMES UP, BUT DEPOSITS IS MAINLY USED TO BOOK AND SECURE VENDORS. MORE THAN 90% OF VENDORS DO HAVE A NON REFUNDABLE POLICY AS WELL. BECAUSE OF THIS ALL DEPOSITS ARE FINAL.
4. ALL PAYMENTS MADE TO ATHREE ELITE EVENTS AFTER DEPOSIT IS FINAL. IF AN EVENT IS CANCELED FOR ANY REASON AND REASON IS SOLELY RELATED TO CLIENT ONLY, THE ONLY THING A CLIENT CAN DO IS TRANSFER FUNDS TO A FUTURE EVENT. STIPULATIONS DO APPLY AND THIS MAY RESULT CLIENT TO INCURRING ADDITIONAL CHARGES.
5. In the case that an event has to be canceled for reasons solely related to the client we do ask that the client contact ATHREE ELITE EVENTS at the earliest convenience. ATHREE ELITE EVENTS will try their absolute best to request all security deposits that might be refundable from vendors. We cannot fully guarantee any deposit paid many be refundeded
6. Late payments missed after each scheduled payment will be given a three business days courtesy. After three business days without a payment made will result in a late fee of $150 that will be due once FINAL payment is due, this will be added to total balance due two weeks before the event date.
7. In the event of non-payment, ATHREE ELITE EVENTS retains the right to attempt collection through all legal and permissible means. The client will be responsible for all court fees, legal fees, and collection costs incurred by ATHREE ELITE EVENTS.
8. We accept payments ONLY through the link in invoices. We do not accept outside payments via cash, cash app, zelle, vemo, or any other related source, money orders, certified cashier checks, or personal checks.
9. It is further agreed to and understood that the Client shall be charged $50 for each returned payment plus a $10 service charge for each collection notice.
CANCELLATION OF CONTRACT
1. This agreement cannot be canceled except by mutual written consent of both the Client and ATHREE ELITE EVENTS. If cancellation is initiated by the Client in writing and agreed to by ATHREE ELITE EVENTS in writing, the Client will be required to pay any unrecoverable costs already incurred by ATHREE ELITE EVENTS but not more than the total fee agreed upon.
2. In the event the Client must cancel the contracted services for event planning & design on this contract, all payments, including the initial non - refundable deposit, paid to date will be forfeited. The client may receive a credit minus the cost of already ordered items towards an available future date as agreed upon by ATHREE ELITE EVENTS and Clients. ALL cancellations should be put in writing and emailed to booking@a3eliteevents.com & must CC dw@a3eliteevents.com in email.
SERVICES PROMISED TO CLIENT
1. This agreement of ATHREE ELITE EVENTS to perform all promised services on invoice shall be excused by acts of any other legitimate condition beyond ATHREE ELITE EVENTS. If such circumstances arise, all reasonable efforts will be made by ATHREE ELITE EVENTS to find comparable replacement event planning at the agreed-upon fees. In the event that ATHREE ELITE EVENTS is unable to produce a replacement, the Client shall receive a refund for that item. The client agrees that in all such circumstances, ATHREE ELITE EVENTS' liability shall be exclusively limited to refunding the fees paid and that ATHREE ELITE EVENTS shall not be liable for indirect or consequential damages arising from any breach of this contract.
EQUIPMENT, PERSONAL & PROPERTY DAMAGE
1. It is agreed that the Client will take reasonable steps to protect ATHREE ELITE EVENTS personnel and equipment during the contracted period. In the event of injuries or damages resulting from insufficient protection on Client’s part (except in the case of gross negligence on the part of ATHREE ELITE EVENTS). Client will be responsible for paying for all of the ATHREE ELITE EVENTS resulting costs (including, but not limited to, insurance deductibles, medical treatment) that are not reimbursed by insurance.
2. If the venue is included in the package, the client will have to sign the venue contract. At that time ATHREE ELITE EVENTS is not responsible for any mishaps or any damage caused to the event venue during party scheduled time. ATHREE ELITE EVENTS is only and solely responsible for event space during setup and during breakdown. ATHREE ELITE EVENTS is only and solely responsible for any equipment that is owned by us or rented "excluding any bounce house rental" by us if caused damaged to the event venue in any scale. ATHREE ELITE EVENTS is only and solely responsible for any damage to the event venue during party scheduled time if it is caused by any of our staff members that stay during event hours. Client shall pay any charges imposed by the venue. These charges may include but are not limited to, extra parking fees, additional charges for hours because the party went over due to clients, use of electric power, etc.
3. If ATHREE ELITE EVENTS rents out the venue on behalf of the client and any damage is done to the venue by the client or guest attending the event, the client will be held responsible for all costs to repair the venue. Funds are due immediately in order to fully pay venue vendors.
4. If ATHREE ELITE EVENTS rents out any event equipment such as props, inflatables, furniture and or not limited to any other equipment from any vendor and damage is done by the client or guest attending the event the client will be 100% responsible for the cost.
5. In the event that we rent out inflatables on behalf of the client, use of the inflatable is voluntary, persons using the inflatable do so at their own risk. By signing this contract the customer accepts full responsibility for the rented inflatable (S) and any damages and injuries that may result from its use.
5 .Customer is responsible for all equipment from ATHREE ELITE EVENTS and any vendor from the time of receipt to the time of return (this is event start time to event end time), including replacement costs, in the event that the equipment is broken, lost, or stolen.
6.Client will be responsible for any damage to property including but not limited to centerpieces, chairs, linens, backdrop, charger plates, etc. Once decorations are set up, all equipment brought in and set up will be under the client's liability. All damage or missing property will be charged at full replacement cost.
7. If any equipment becomes unsafe for use, the customer agrees to discontinue the use of such equipment and IMMEDIATELY notify ATHREE ELITE EVENTS. If an item is replaceable, ATHREE ELITE EVENTS will replace the equipment with similar equipment in good working order, if available and replaceable in a timely manner.
8. Client agrees to defend, indemnify, assume liability for and hold ATHREE ELITE EVENTS harmless from any and all claims, demands, damages, losses, suits, proceedings, penalties, expenses, or other liabilities including attorney fees and court costs, arising out of or resulting from the performance of this contract, regardless of the basis (except for gross negligence on the part of ATHREE ELITE EVENTS).
VENDORS
1. Outside vendors may be referred to the client. The client understands and agrees that ATHREE ELITE EVENTS is not responsible for poor services rendered by any vendor. It will be the client's responsibility to settle all grievances and poor services rendered by any vendor. ATHREE ELITE EVENTS will not refund any fees in the instance that a vendor is not satisfying to any client.
2. The Client gives permission for ATHREE ELITE EVENTS to contact the venue and the vendors to confirm event details. ATHREE ELITE EVENTS will not be responsible for any services rendered by the venue or other outside vendors. The client understands and agrees that it's not ATHREE ELITE EVENTS responsibility to setup or breakdown any items that are sub-rented or dropped off from other vendors or other persons. If a client needs assistance with setting up other items such as programs, menu cards, favors, food, etc. If the client needs assistance with these items please consult with ATHREE ELITE EVENTS for an additional fee. Additional time is required as well.
3. The client will cover all parking expenses and entry into any place that requires tickets to be purchased for all ATHREE ELITE EVENTS staff and all vendors associated with ATHREE ELITE EVENTS.
CHANGES TO INVOICE/ ADDING OR CANCELING ITEMS OR SERVICE FOR AN EVENT
1. No removal changes or deductions may be made to an order once the deposit has been paid and the vendor has a no refund policy.
2. Some additions may be allowable and may be subject to an additional fee plus service fee. Service fee depends solely on the extent of the item or service that is being added to the event and length time before the event date. This does not 100% promise that all items or services wanted will be able to be added to the event. An item or service is not secured until payment is received from the client and a deposit or full payment is made for the item or service.
SETUP & BREAKDOWN
1. All events require a minimum setup time of 2 hours unless otherwise noted. All events needing less time will be smaller events with smaller guest count. Example: Kids Party 16 or less guests, Dinner Party 12 or less guests. ATHREE ELITE EVENTS will communicate this with the client. More time may also be required depending on the event, if this is the case ATHREE ELITE EVENTS will communicate this to the client. If the venue will allow decorating the day before the event depending on event space availability, this is strongly suggested as well. Client is 100% responsible for any fees associated with additional time for setup.
2. All events require a minimum time of 1 hour for breakdown. If any additional time is needed for breakdown ATHREE ELITE EVENTS will communicate this with the client ahead of time so the client can make appropriate arrangements for breakdown. Client is 100% responsible for any fees associated with additional time for breakdown.
3. ATHREE ELITE EVENTS doesn't assist in cleaning the venue. This includes but not limited to breakdown or stacking of furniture that does not belong to ATHREE ELITE EVENTS or by a vendor hired by ATHREE ELITE EVENTS, any trash left by client or clients guests, sweeping, mopping, discarding beverages and or food, confetti or glitter, ect. In the case that the venue does not have a cleaning fee associated with the package and the client is responsible for cleaning the venue after the event has concluded. In the end, ATHREE ELITE EVENTS will gather all items for the event that ATHREE ELITE EVENTS brought in. Cleaners will need to be hired for an additional fee either through ATHREE ELITE EVENTS or by clients themselves.
COVID 19 UPDATE:
All ATHREE ELITE EVENTS staff members take COVID-19 very seriously. ATHREE ELITE EVENTS will do everything possible to prevent you or your guest from getting COVID-19 at your event, however, we cannot guarantee you or your guest will not get the virus.
If your event needs to be postponed due to COVID-19 or any pandemic you can reschedule up to 12months with no additional charge or some additional charge depending on the circumstances. We have no control over vendors used for your event may charge fees for postpone/ rescheduling your event. If you must cancel your event due to COVID-19 or any pandemic all payments made are non-refundable but may be transferable to another event up to 12 months future date. ATHREE ELITE EVENTS will only operate in compliance with the law. It's the client's responsibility to comply with relevant laws as well.
